Mr. Herzberg’s practice focuses on representing clients in transactions and disputes involving real estate, commercial law, and aviation matters. He has successfully advised and represented a diverse range of individuals and entities in commercial and residential real estate transactions, financing arrangements, and real estate development projects.

His real estate practice emphasizes the acquisition, financing, and sale of all classes of commercial and residential real estate, including shopping centers anchored by national tenants, large multi-family properties, office complexes, warehouses, and luxury residential properties. At the firm, he has guided clients through hundreds of real estate transactions with a cumulative value exceeding $2 billion. His experience includes advising on high-profile acquisitions and dispositions involving some of the largest real estate investment funds in the United States.

In addition, Mr. Herzberg has negotiated and structured numerous long-term leases, some exceeding 30 years, for retail spaces, restaurants, office properties, and land leases, representing both landlords and tenants.

Mr. Herzberg’s litigation experience further enhances his transactional work. He has represented clients in commercial and civil disputes in Florida state courts, the Florida District Court of Appeals, and Federal Court. This dual expertise equips him with a comprehensive understanding of how to proactively address potential risks and mitigate disputes before they arise.

Before joining the firm, Mr. Herzberg served as corporate counsel for a real estate investment fund in South Florida. A Miami native, he earned degrees in Geography and International Affairs from The George Washington University in Washington, D.C., and graduated cum laude from the University of Miami School of Law.

In November 2024, he began serving as a Councilmember for the Town of Miami Lakes, marking the start of his four-year term.

Real Estate Transactions

  • Represented a real estate investor in the purchase of a 560-unit, 560,000-square-foot multifamily complex in Houston, Texas, including the assumption of a $38-million securitized commercial mortgage held by Citigroup.
  • Represented a real estate investor in the $31-million purchase and financing of a 325-unit, 24-acre multifamily complex in Jacksonville, Florida.
  • Represented a real estate investor in the purchase and financing of a 232,000-square-foot commercial retail center in Lewisville, Texas.
  • Represented purchasers in a $33-million condominium unit purchase in Miami, Florida—the highest-valued condominium transaction in the city’s history.
  • Represented a real estate investor in the purchase and financing of a 115,000-square-foot commercial retail center in Lewisville, Texas.
  • Represented various property owners in negotiating and drafting long-term commercial leases across Florida, the U.S., and abroad, including built-to-suit leases, predevelopment leases, land leases, and agreements with Fortune 500 tenants.
  • Represented buyers and sellers in transactions involving national-anchored retail shopping centers, real estate portfolios, multifamily properties, distressed commercial properties, development sites, hotels, luxury homes, spec home development lots, and warehouses.

Litigation and Dispute Resolution

  • Represented a world-leading Indian agriculture company and its Argentina and Mauritius subsidiaries in securing the dismissal of a seven-figure breach of contract claim against a Latin American international cargo airline, successfully defending the case on appeal in the Florida Third District Court of Appeal. Transcarga Intl. Airways, C.A. v. Advanta Seeds International, 274 So.3d 491 (Fla. 3d DCA 2019).
  • Represented a real estate investor in a trial and subsequent appeal involving allegations of an invalid prior transaction and a property line dispute. Successfully secured a judgment in favor of the client, upheld on appeal in the Florida Third District Court of Appeal. Pena v. Rincon, 327 So.3d 459 (Fla. 3d DCA 2021).

Aviation

  • Represented international and domestic corporations in the purchase, sale, leasing, and management of various classes of aircraft.

Other Notable Matters

  • Represented a local tour boat operator in obtaining city approval for a long-term lease of City of Miami waterfront property through a competitive Request for Proposal process.
